Harmony Fence manufactures and supplies the following metal fencing products:

Our products are designed for applications including but not limited to: construction sites, event venues, farms, commercial enclosures, residential boundaries, and security perimeters.

3.1 Quotation Requests: Buyers may request quotations via email, online inquiry form, or through our sales representatives. All quotations are valid for 30 days unless otherwise stated.

3.2 Order Confirmation: Orders are confirmed upon receipt of a signed purchase order or written acceptance of our quotation, along with any required deposit payment.

3.3 Custom Orders (OEM/ODM): Custom specifications, branding, or design modifications require detailed technical drawings and may be subject to minimum order quantities (MOQ) and additional lead time.

3.4 Order Modifications: Changes to confirmed orders must be requested in writing and are subject to approval. Additional fees may apply for modifications made after production has commenced.

4.1 Currency: All prices are quoted in USD unless otherwise specified.

4.2 Payment Methods: We accept bank wire transfer (T/T), Letter of Credit (L/C), and other mutually agreed payment methods.

4.3 Payment Schedule:

• Standard orders: 30% deposit upon order confirmation, 70% balance before shipment
• Custom/OEM orders: 40% deposit, 60% balance before shipment
• Long-term partners: Negotiable payment terms based on credit history

4.4 Late Payment: Overdue payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.

4.5 Price Adjustments: Prices are subject to change based on raw material costs, currency fluctuations, or other market conditions. Confirmed orders are protected from price increases for 90 days.

5.1 Available Trade Terms: We offer EXW, FOB, CIF, DDU, and DDP terms in accordance with Incoterms 2020.

5.2 Shipping Method: Goods are primarily shipped via sea freight. Air freight is available upon request for urgent orders.

5.3 Delivery Time: Standard production lead time is 15-30 days after deposit receipt, depending on order quantity and product complexity. Shipping time varies by destination.

5.4 Shipping Documentation: We provide commercial invoice, packing list, bill of lading, certificate of origin, and quality inspection certificates as standard. Additional documents (e.g., Form A, Form E) available upon request.

5.5 Risk Transfer: Risk transfers to the buyer according to the agreed Incoterm. Buyers are responsible for customs clearance and import duties unless DDP terms are agreed.

5.6 Shipping Delays: Harmony Fence is not liable for delays caused by force majeure, port congestion, customs holds, or carrier issues beyond our control.

6.1 Quality Standards: All products are manufactured in compliance with ISO9001 standards and CE certification requirements where applicable.

6.2 Pre-Shipment Inspection: Buyers may arrange third-party inspection at the factory before shipment. Inspection costs are borne by the buyer unless defects exceed agreed tolerance levels.

6.3 Quality Documentation: We provide material test reports, dimension inspection reports, and surface treatment certificates upon request.

6.4 Tolerance Levels: Manufacturing tolerances are specified in product specifications. Minor variations within industry-standard tolerances (±2-5% depending on product type) are acceptable.

7.1 Warranty Period: Products are warranted against manufacturing defects for 12 months from the date of shipment or 6 months from installation, whichever occurs first.

7.2 Warranty Coverage: The warranty covers defects in materials and workmanship under normal use. It does not cover damage from improper installation, misuse, extreme weather, corrosion from environmental factors, or normal wear and tear.

7.3 Claim Procedure: Warranty claims must be submitted in writing within 7 days of discovery, accompanied by photographic evidence, product batch numbers, and detailed description of the defect.

7.4 Remedy: For valid warranty claims, Harmony Fence will, at its discretion, repair, replace, or provide credit for defective products. Buyer is responsible for return shipping costs unless the defect rate exceeds 3% of the shipment.

7.5 Non-Warranted Returns: Returns for reasons other than defects (e.g., buyer's remorse, over-ordering) are not accepted unless pre-approved in writing and subject to a 20% restocking fee.

8.1 Maximum Liability: Harmony Fence's total liability for any claim arising from a purchase order shall not exceed the total value of the specific order in question.

8.2 Exclusion of Consequential Damages: We are not liable for indirect, incidental, special, or consequential damages including but not limited to loss of profits, business interruption, or project delays.

8.3 Installation & Use: Harmony Fence is not responsible for installation errors, improper use, or modifications made by the buyer or third parties. Buyers are responsible for ensuring products are suitable for their intended application.

8.4 Third-Party Claims: Buyer agrees to indemnify and hold harmless Harmony Fence from any third-party claims arising from buyer's resale, installation, or use of the products.

9.1 Trademarks: "Harmony Fence" and associated logos are trademarks of Harmony Fence Manufacturing Co., Ltd. Buyers may not use our trademarks without prior written authorization.

9.2 OEM/ODM Rights: For custom products manufactured under buyer's brand, buyer retains ownership of their trademarks and designs. Harmony Fence retains the right to use manufacturing processes and technical know-how for other customers.

9.3 Confidentiality: Both parties agree to maintain confidentiality of proprietary information, technical specifications, and pricing shared during the business relationship.

9.4 Product Photography: Harmony Fence reserves the right to photograph and use images of manufactured products for marketing purposes unless specifically prohibited in writing by the buyer.

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

• Natural disasters (earthquakes, floods, typhoons)
• War, terrorism, civil unrest
• Government actions, trade embargoes, sanctions
• Pandemics or public health emergencies
• Labor strikes or disputes
• Severe material shortages or energy crises

In the event of force majeure, the affected party must notify the other party within 7 days and provide reasonable evidence. Delivery timelines may be extended by the duration of the force majeure event.

11.1 Negotiation: In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.

11.2 Arbitration: If negotiation fails, disputes shall be submitted to arbitration in accordance with the arbitration rules of the China International Economic and Trade Arbitration Commission (CIETAC).

11.3 Governing Law: These Terms are governed by the laws of the People's Republic of China.

11.4 Language: The English version of these Terms shall prevail in case of any conflict with translations.

12.1 Right to Modify: Harmony Fence reserves the right to update these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date.

12.2 Notice of Changes: For material changes affecting existing orders, we will notify buyers via email at least 30 days in advance.

12.3 Continued Use: Placing new orders after Terms updates constitutes acceptance of the revised Terms.

12.4 Existing Orders: Orders confirmed before a Terms update remain subject to the Terms in effect at the time of order confirmation.
